Bylaws of

 The Newman Youth Baseball and Softball Association

Article I:  Name

            The name of this organization shall be Newman Youth Baseball and Softball Association Hereinto known as NYBSA.

 

Article II:  Objective and Scope

Section 1:        The objective of NYBSA shall be the organization and operation of one or more tax-exempt baseball and softball programs.

 

Section 2:        The scope of this organization shall be the operation of an amateur youth baseball and softball program within the Newman Crows Landing area.  This shall be accomplished as an autonomous organization with the cooperation of the City of Newman, the Newman Crows Landing Unified School District and any organization, regional or national, as NYBSA deems necessary.  With respect to the objective of the NYBSA, the scope is not limited as to the activities that may be conducted in its pursuit, nor to the ages of the participants in its programs and activities but rather includes all reasonable means to achieve the objective as determined by the Executive Board of Directors.

 

Article III:  Officers

Section 1:        The officers of NYBSA shall be nominated from community volunteers and elected by the members of NYBSA and shall consist of a President, Vice President, Treasurer, Secretary, Head of Umpires and any other officers NYBSA deems necessary.  These officers shall be known as the Executive Board of Directors.

 

Section 2:        These officers shall be elected by the members of NYBSA at the Annual Board Meeting.  The offices of President, Vice President, and Treasurer require a minimum of three years consecutive service, and serve a three year term.  In the event that no members can be found to fill these offices as required, any member is eligible to fill these offices.  The remaining officers are elected for a one year term or until their successors are elected, and their term shall begin immediately upon election.

 

Section 3:        These officers shall perform the duties as prescribed by these bylaws and by parliamentary authority adopted by NYBSA.

 

Section 4:        All financial transactions must be approved by at least two members of the Executive Board of Directors.  In the event that no two members of the Executive Board of Directors can agree on any expenditure, it must be approved by a majority of the Executive Board of Directors.

Section 5:        An officer may be removed from office by majority vote of the Executive Board of Directors.

 

Section 6:        An officer may resign his or her office by providing notice to the Executive Board of Directors.  Upon acceptance of the resignation by a majority of the Executive Board of Directors the office shall be declared vacant.

 

Section 7:        An officer who fails to attend a regular meeting of the Executive Board of Directors for three consecutive meetings may be declared to have abandoned his or her office by a majority vote of the Executive Board of Directors.  Absence due to occupation or illness will not be considered abandonment of office under this section, provided that the officer expects to be able to resume his or her duties within a reasonable period of time.  An office which has been abandoned with be considered vacant.

 

Section 8:        Vacant offices shall be filled in accordance with Section I of this Article by ballot of the Executive Board of Directors.  The term of office for an officer elected under this section shall be until the end of the original term, or until a successor is chosen.

 

Section 9:        A member of the Executive Board of Directors who is deemed by the board to have a direct conflict of interest in any matter which is under active consideration by the board shall be required to recuse from deliberations and to abstain from any vote which is taken in regard to the matter in question.

Section 10:      Only the President may call an item to vote.

 

 

Article IV:  Meetings

Section 1:        The regular board meetings shall be held on the second Monday of each month unless otherwise ordered by the Executive Board of Directors.

 

Section 2:        The regular meeting on the second Monday in January shall be called the annual meeting and shall be for the purpose of electing officers, receiving reports of officers and committees, and for any other business that may arise.  If for any reason the Annual Meeting cannot be held at the appointed time, the Annual Meeting shall be held at the place and time designated by the Executive Board of Directors.

 

Section 3:        Special meetings may be called by the President or by a majority vote of the Executive Board of Directors.  The purpose of the meeting shall be stated in the call and such business as stated in the call shall be transacted.

Section 4:        A quorum of the Executive Board shall be considered those present.

 

Article V:  Committees

Section 1:        Committees, special or standing, shall be appointed by the President or by majority vote of the Executive Board of Directors, for any business that may need to be carried out on behalf of the league.  Each committee shall serve for a term as designated at the time of its creation.  The term of a special committee may be amended by a majority vote of the Executive Board of Directors.  A standing committee may be terminated by a majority vote of the Executive Board of Directors.

 

Section 2:        The President is ex-officio of all committees.

 

Section 3:        All committees are to make reports to the Executive Board of Directors as designated by the Executive Board of Directors and are to act on the Boards directions.

 

Article VI:  Program Rules and Regulations

Section 1:        Special rules and regulations, which govern the organization and operation of programs and activities sponsored by NYBSA, shall be enacted as needed by majority vote of the Executive Board of Directors.

 

Section 2:        Any rule or regulation enacted by NYBSA may be amended or revoked by a majority vote of the Executive Board of Directors.

 

Section 3:        NYBSA may require a background check for any individual who acts in an official capacity on behalf of NYBSA including but not limited to officers, coaches, sponsors, and other program officials. Any requirement for background checks shall be determined by the Executive Board of Directors as needed.

Section 4:        The rules governing the girls divisions shall be taken from the current years NSA rule book.  A list of addendums and modified rules specific to NYBSA will be used to supplement this rule book and will be updated each year as needed by the Executive Board of Directors.

 

Section 5:        The rules governing the boys divisions, not including Pony Baseball, shall be taken from the current years Stanislaus County Youth Baseball rule book.  A list of addendums and modified rules specific to NYBSA will be used to supplement this rule book and will be updated each year as needed by the Executive Board of Directors.

Section 6:        The rules governing the Boys Pony division shall be taken from the current Stanislaus County Pony League rules.  A list of addendums and modified rules specific to NYBSA will be used to supplement this rule book and will be updated each year as needed by the Executive Board of Directors. 

 

Article VII:  Coaches

Section 1:        All decisions and selections of head coaches or team managers shall be made by the Executive Board Directors.  Factors such as length of service and past behavior may be used as tools to judge worthiness of any coaching candidate.  The Executive Board of Directors may also require all candidates to attend an interview or interviews by a coach selection committee or members of the Executive Board of Directors as they deem needed.

 

Section 2:        All coaches or team helpers interacting with the players on the field or within the dugout must be approved by the Executive Board of Directors and must attend a mandatory coaches meeting so that they may understand the behavior they are required to display at all times at NYBSA sponsored functions, including but not limited to games, practices, meeting or parades.

 

Article VIII:  Final Authority

Section 1:        The NYBSA Executive Board of Directors has final authority in all matters related to the program and its decisions are not subject to challenge, protest, or contestation.

 

Section 2:        Any individual who has a grievance with the NYBSA, a member of the board, other official or coach of NYBSA sponsored program, or any other aspect of an NYBSA sponsored program may request a meeting to discuss that grievance by the board of directors by furnishing a notice of grievance in writing to the board. The written notice should contain a detailed description of the grievance and what remedy the complainant is seeking, if any. The written notice should be sent to the published mailing address of the NYBSA or delivered to a member of the Executive Board of Directors. Other means of delivery, such as electronic email systems, may be authorized by the Executive Board provided that such means are available to all members of the board.

Section 3:        Any individual, player, parent, coach, or spectator found to be in violation of current rules or displaying any behavior not fit for a youth sports program as decided upon by the Executive Board of Directors may be removed from any participation in any NYBSA sponsored event for any term deemed necessary by the Executive Board of Directors up to permanent ban from all league activities, including those in other cities in which NYBSA participates.

Section 4:        Any individual permanently banned from all league activities may apply for reinstatement at any time by submitting their request in writing.  The Executive Board of Directors will consider each matter on an individual basis.

Section 5:        The Executive Board of Directors shall hear any grievance on any matter that is deemed germane to NYBSA and its programs, provided that the grievance is presented in the manner prescribed in these bylaws. The board shall provide the member with a response to his or her grievance within a reasonable period of time after receiving such notice of grievance.

 

 

Article IX:  Parliamentary Authority

Section 1:        The rules contained in the current edition of Robert's Rules of Order

Newly Revised shall govern NYBSA in all instances when they are applicable and not inconsistent with these bylaws.

 

Article X:  Amendment of Bylaws

Section 1:        These bylaws may be amended by a two-thirds vote of the Executive Board of Directors, after the amendment has been considered at two board meetings, provided the amendment was in the call for the meeting.
